ADDENDUM - Recurring Monthly Service Agreement

THIS AMENDMENT TO RECURRING MONTHLY SERVICE AGREEMENT (the “Amendment”) is made and entered into as of this ____ day of ____________, 201__ by and between _____________________________ (“Client”) and North Carolina Information Data, Inc. d/b/a CourtLogic (“NCID”).

WITNESSETH:

WHEREAS, the parties previously entered into a Recurring Monthly Service Agreement (the “Service Agreement”);

WHEREAS, the Service Agreement may be changed with the written consent of an officer of NCID and this Amendment shall serve as such consent; and

WHEREAS, the Client wishes to subscribe for NCID’s Previous Client Alert Services (the “New Service”) and the parties desire to amend the Service Agreement as set forth in this Amendment to allow for, among other things, the Client’s subscription to the New Service.

NOW THEREFORE, in consideration of the premises and the mutual covenants, agreements and obligations of the parties hereinafter set forth, Client and NCID hereby agree as follows:

1. Client acknowledges, understands and agrees that the term “Service” as defined in the Service Agreement, shall be expanded to include, in addition to all items included in such definition in the Service Agreement: (a) the New Service; and (b) all other services offered or provided by NCID or on the Website now or in the future in each case to the extent utilized or subscribed for by Client.

2. Client acknowledges, understands and agrees that: (a) it will not use the Service to violate any rules of professional conduct governing lawyers; and (b) NCID is entitled to rely on the information provided by Client to NCID and that Client will verify the identity of any individual’s name provided to NCID by Client and/or by NCID to Client.

3. Client acknowledges and agrees that it is bound by any terms and conditions (including data privacy policies) posted to the Website.

4. Capitalized terms used in this Amendment, not defined in this Amendment but defined in the Service Agreement shall have the meanings in this Amendment given them in the Service Agreement.

5. Except as specifically amended above, the Service Agreement shall continue to be in full force and effect and is hereby in all respects ratified and confirmed.

6. This Amendment and any dispute or controversy arising out of or relating hereto shall in all respects be governed by and construed in accordance with the laws of the State of North Carolina, excluding its conflicts of laws principles.

7. This Amendment may be executed in any number of counterparts, and all such counterparts together shall constitute but one and the same instrument; this Amendment may be executed by facsimile or e-mail signature(s), which shall be deemed for all purposes as original, handwritten signature(s) and fully valid.
